AOP & Partnership Firm Registration
An Association of Persons (AOP) is a business owned by two or more persons, such as a partnership firm, that is not a company. To set it up, partners sign a partnership deed, may register the firm with the Registrar of Firms, and obtain a separate NTN for the AOP from the FBR. The AOP files its own income tax return. Is an AOP taxed separately from its partners?
Yes. An AOP is a separate taxable entity that files its own return. Partners' share of profit is treated according to the Income Tax Ordinance.
Is registration with the Registrar of Firms compulsory?
It is not strictly compulsory, but a registered firm has better legal standing, for example to enforce contracts in court, and banks often require it.
Can a partner be added or removed later?
Yes. The partnership deed is amended (reconstituted) and the FBR and Registrar records are updated.
